Terms of Service

1. Scope and business-only use

1.1 These Terms govern use of the CleanScope software-as-a-service (the “Service”) between the Provider and you, the customer (“Customer”).

1.2 The Service is offered exclusively to businesses and organizations acting in a commercial or professional capacity. By creating an account you confirm you are entering this agreement on behalf of a business and not as a consumer. Statutory consumer-protection and distance-selling withdrawal rights do not apply.

1.3 Conflicting customer terms (for example, a Customer's own purchasing conditions) do not apply unless the Provider agrees in writing.

2. The Service; beta status

2.1 CleanScope lets cleaning-company operators record a spoken building walkthrough, uses AI to transcribe and structure it, and computes a deterministic price proposal.

2.2 Beta. While the Service is marked “beta,” it is provided “as is,” without any availability or fitness guarantee, and may change or pause at any time.

3. AI output is an estimate — human review required

3.1 AI is used only to transcribe and structure the Customer's spoken input. All pricing and labor calculations are performed by a deterministic calculation engine, not by AI.

3.2 AI-derived figures (room sizes, frequencies, fixture counts) are estimates. The Customer must review and verify every figure and price before sending any proposal to its own clients. The Provider is not liable for proposals the Customer sends without review.

4. AI training prohibition

The Provider does not use Customer audio, proposals, or account data to train AI models, and contracts its AI sub-processor (Google Cloud Vertex AI, EU region) on enterprise terms that exclude such data from model training. This clause survives the termination of the account.

5. Fees, billing, trial, auto-renewal

5.1 Plans and current prices are shown in-app and are stated in US dollars (USD). Plans: Starter (free), Growth, Scale.

5.2 Paid plans begin with a 14-day free trial; no card is charged until the trial ends.

5.3 Subscriptions auto-renew for successive periods (monthly or annual) until cancelled. The Customer may cancel at any time, effective at the end of the current period, via account settings or the billing portal. CleanScope does not offer prorated refunds for partial billing periods, except where required by applicable law.

5.4 Payments are processed by Stripe. Applicable taxes (US sales tax, EU VAT, GST, etc.) are added where required.

6. Warranty disclaimer and liability cap

6.1 To the maximum extent permitted by applicable law, the Service is provided “as is.” The Provider does not warrant uninterrupted availability or that AI transcription is error-free.

6.2 Liability cap. Except for damages caused by gross negligence or intent, for personal injury, or where liability cannot be limited by law, the Provider's aggregate liability is limited to the fees the Customer paid in the 12 months before the event, with a minimum reference of USD 100. The Provider is not liable for indirect or consequential loss (lost profits, lost contracts, data re-creation cost).

7. Data protection

Processing of personal data is governed by the Privacy Policy. Where the Customer enables a feature under which CleanScope processes personal data on the Customer's behalf, the Data Processing Agreement (DPA) applies and is incorporated by reference.

8. Term, suspension, termination

The agreement runs for the chosen billing period and renews per §5.3. The Provider may suspend or terminate for material breach (including non-payment). On termination the Customer may export its data (see the Privacy Policy); data is then deleted per the retention schedule.

9. Changes to these Terms

The Provider may update these Terms for valid reasons (legal changes, new features). Material changes are notified by email and/or in-app, and continued use after the stated effective date constitutes acceptance. Where required, renewed click-through acceptance is requested.

10. Governing law and venue

These Terms are governed by Austrian law (the Provider's seat), excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Venue is the court with subject-matter jurisdiction at the Provider's registered seat. This choice does not deprive a Customer of any mandatory protections of its local law that cannot be contracted out of.

11. Miscellaneous

If any clause is invalid, it is replaced by the closest valid one and the remainder stays in force. There are no informal side agreements. The Provider may assign this agreement to a successor entity (for example, on incorporation to a FlexCo/GmbH) with notice.
